Risks of Alternative Investments

Alternative investments involve substantial risks and are not suitable for every investor. Risks vary by investment and may include, but are not limited to, the following:

  • Loss of capital. Alternative investments are speculative and may result in the loss of some or all invested capital.
  • Illiquidity and transfer restrictions. Interests may be illiquid, subject to significant restrictions on transfer, and held for an indefinite or extended period. A secondary market may not exist or develop.
  • Limited regulatory and disclosure requirements. Private funds and other alternative investments generally are not subject to the same registration, liquidity, pricing, valuation, and standardized disclosure requirements applicable to registered mutual funds and publicly traded securities.
  • Valuation uncertainty. Investments may not have readily ascertainable market values. Valuations may be based on estimates, models, appraisals, manager determinations, or information that is incomplete or unavailable.
  • Limited information. Investors may receive less frequent or less detailed financial, operating, and valuation information than is available for publicly traded investments.
  • Leverage. An investment vehicle or its underlying investments may use leverage, which can increase both gains and losses and may result in substantial volatility.
  • Concentration. An investment vehicle may hold a limited number of investments or concentrate exposure by issuer, sector, strategy, geography, stage, or other characteristic.
  • Fees and expenses. Alternative investments may involve management fees, carried interest or other performance-based compensation, organizational expenses, operating expenses, transaction costs, underlying-manager fees, and other charges that reduce investment returns.
  • Conflicts of interest. GAIM, its affiliates, underlying managers, sponsors, and their respective personnel may be subject to actual or potential conflicts involving investment allocation, valuation, compensation, affiliated transactions, service providers, follow-on investments, and other matters.
  • Tax complexity. Alternative investments may involve complex tax structures, tax reporting obligations, unrelated business taxable income, effectively connected income, or delays in the delivery of tax information.
  • Reliance on management. Investment results may depend significantly on the judgment, experience, availability, and continued service of GAIM, an underlying manager, portfolio-company management, or other key personnel.
  • Operating and business risks. Portfolio companies may have limited operating histories, require additional financing, face substantial competition, experience technological or regulatory change, or fail to execute their business plans.
  • No assurance of liquidity events or returns. There can be no assurance that an investment will achieve its objectives, generate income or appreciation, complete a public offering or sale, provide liquidity, or return invested capital.
  • Economic, market, legal, and regulatory risks. Investments may be adversely affected by economic conditions, interest rates, inflation, market disruptions, geopolitical events, legal developments, and regulatory changes.

This summary does not identify every risk, conflict, fee, expense, or other material consideration associated with an alternative investment. The risks applicable to a particular opportunity are described more fully in its Offering Documents.

Prospective investors should conduct their own review and consult their legal, tax, accounting, and financial advisers before making an investment decision. Past performance and prior investments are not indicative of future results. There can be no assurance that any investment will achieve its objectives or that comparable investment opportunities or results will be available in the future.
